Terms of Service

1. Overview & SaaS Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Merchant", "Client", "You") and PT Boontrack Inovasi Digital ("BoonTrack", "We", "Us", "Our"), an Indonesian legal entity operating the BoonTrack SaaS platform and developer APIs.

By registering an account, integrating our API endpoints, accessing the management dashboard, or orchestrating automated workflows through the official Meta WhatsApp Cloud API via our infrastructure, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. SaaS Subscription & Service Access

BoonTrack provides software infrastructure, headless commerce tooling, and workflow automation under a Software-as-a-Service (SaaS) subscription model:

• Subscription Plans & Tiers: Access to enterprise modules, API throughput quotas, and modular webhook connectors is granted based on active subscription tiers billed monthly or annually.
• Service Availability & SLA: We strive to maintain 99.9% platform availability. Scheduled maintenance windows will be communicated via official system telemetry channels.
• Credential & API Key Security: You are responsible for preserving the confidentiality of your workspace API keys, webhook signing secrets, and admin credentials. Any activity conducted under your credentials is your direct responsibility.
• Multi-Tenant Isolation: Customer data and operational queues are partitioned in isolated environments to guarantee data segregation and high throughput reliability.

3. Permitted Use, Meta Compliance & Anti-Spam

Merchants must strictly comply with applicable laws, the Meta WhatsApp Business Policy, Meta Commerce Policy, and our standalone Anti-Spam & User Consent Policy:

• Anti-Spam & Mandatory Recipient Opt-In: You must obtain verifiable, explicit prior consent from end recipients before sending automated notifications or promotional templates. Unsolicited bulk messaging (spam) is strictly prohibited.
• Prohibited Goods & Activities: The Service may not be used in connection with fraudulent schemes, illegal gambling, counterfeit items, unauthorized financial services, malware distribution, or deceptive commerce under Meta Commercial Guidelines.
• Regulatory Compliance: Users must comply with Indonesian Electronic Information and Transactions Law (UU ITE), Personal Data Protection Law (UU PDP No. 27/2022), and international recipient protection frameworks.

4. Non-Custodian Status, Payment Processing & Merchant of Record

Independent Software Provider: BoonTrack is solely a technology and software orchestration provider. BoonTrack is NOT a bank, financial institution, licensed payment gateway, or money transmitter, nor a custodian or escrow agent holding consumer or merchant funds.

Third-Party Payment Gateways: All domestic payment transactions (Credit Card, Virtual Account, Dynamic QRIS, and E-Wallets) are processed directly by licensed payment gateway partners (such as PT Sinar Digital Terdepan / Xendit) and acquiring banks. Fund settlement and merchant payouts are administered exclusively by the respective licensed financial entities.

Authorized Merchant of Record (MoR) for International Subscriptions: For international clients, recurring SaaS software subscriptions and cross-border licensing are processed and invoiced by our Authorized Merchant of Record & Payment Infrastructure Partners. The MoR acts as the legal merchant of record for those transactions, managing payment security, currency conversion, VAT/sales tax compliance, and automated billing receipts.

• Merchant Commercial Responsibility: You retain sole responsibility for the goods, digital services, and subscriptions sold to your end customers, including pricing, tax liabilities, order fulfillment, and dispute resolution.
• Chargeback & Dispute Liability: The merchant is solely liable for any chargebacks, fraudulent transaction disputes, or cardholder inquiries initiated by their end customers. BoonTrack provides technical transaction logs to assist in dispute verification.
